Terms of Service

These Terms of Service ("Terms") govern your use of Onnai software and services ("Service") provided by Onnai ("we", "us", "our"). By using the Service, you agree to these Terms.

1. Service Description

Onnai provides AI-powered command-line tools and APIs that process text input and generate responses. The Service includes the onnai CLI, onnaid daemon, Mimic personas, and related APIs.

2. Account & Access

You must provide a valid email address to activate the Service. You are responsible for maintaining the security of your API keys and credentials. Do not share your credentials or allow others to access your account.

3. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the Service or servers
• Violate any applicable laws or regulations
• Generate spam, malware, or phishing content
• Circumvent usage limits or access controls

4. BYOK (Bring Your Own Key)

When using third-party AI providers via BYOK, you are subject to their respective terms of service. We do not store, log, or have access to your third-party API keys or the traffic routed through them. You are responsible for compliance with third-party provider terms.

5. Data & Privacy

When using Onnai-hosted inference:

• We process your input to generate responses
• We may retain usage metadata for billing and abuse prevention
• We do not sell your data to third parties

When using BYOK or local inference, your data does not pass through our servers.

6. Payment & Billing

Paid plans are billed monthly. Credits expire at the end of each billing cycle unless otherwise stated. Trial credits are non-refundable. We reserve the right to change pricing with 30 days notice.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance will be announced in advance when possible.

8. Intellectual Property

You retain ownership of your input and output content. We retain ownership of the Service, software, documentation, and Mimic personas. You may not reverse engineer, decompile, or attempt to extract source code from the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AI-GENERATED CONTENT MAY CONTAIN ERRORS. OUTPUT FROM MIMICS LIKE "DOC", "LEGAL", OR "MONEY" IS NOT PROFESSIONAL ADVICE. ALWAYS CONSULT QUALIFIED PROFESSIONALS FOR MEDICAL, LEGAL, OR FINANCIAL DECISIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access for violation of these Terms or for any reason with notice. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.
